These Terms & Conditions ("Terms") govern your access to and use of the Cliently website, waitlist, and services (collectively, the "Service"). By using the Service, you agree to these Terms.
About Cliently
Cliently provides business administration tools for solo service professionals, including scheduling, client management, invoicing, and related features. Some features may be offered on an early access or waitlist basis.
Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Waitlist and early access
Joining our waitlist does not guarantee access to the Service. We may invite users in any order and may change or discontinue early access features at any time.
Acceptable use
You agree not to:
- use the Service unlawfully or in a way that infringes the rights of others;
- attempt to gain unauthorised access to our systems or other users' accounts;
- interfere with or disrupt the Service; or
- upload malicious code or misleading content.
Your content and client data
You retain ownership of content and client data you submit to Cliently. You grant us a limited licence to host, process, and display that content solely to provide and improve the Service.
You are responsible for ensuring you have appropriate rights and lawful grounds to process any personal data you upload or manage through Cliently, including compliance with UK data protection law.
Intellectual property
Cliently and its branding, software, and website content are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except as needed to use the Service.
Third-party services
The Service may integrate with third-party providers (for example, calendar, payment, or messaging services). Your use of those services is subject to their own terms and policies.
Fees
Where paid plans are offered, pricing and billing terms will be presented before you subscribe. Unless otherwise stated, fees are exclusive of applicable taxes.
Disclaimers
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. Cliently is a business administration tool and does not provide legal, tax, or financial advice.
Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to the above, we shall not be liable for any indirect, incidental, special, or consequential losses, or for loss of profit, revenue, data, or goodwill. Our total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or £100 if you have not paid us, whichever is greater.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will continue to apply.
Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service.
